PARTNERSHIP AGREEMENT

1. Purpose The partners agree to work together to manage and monetize mentorship services for owner-operators, based on the digital audience and demand shown in the presentation. 2. Roles & Responsibilities Partner One – Payments Partner One will: Coordinate approved payment methods Oversee payments processed via wire, zelle, cash app or any other agreed way up on the deal. Ensure timely payments via btc Distribute earnings to Partner Two in accordance with the agreed revenue split Partner Two – Content Creator & Mentor Partner Two will: Manage customer onboarding Provide mentorship sessions Manage all content creation Handle customer communication related to training Set pricing and approve operational decisions 3. Revenue Split As shown in your PDF (page 5), revenue will be split: Partner Two: 70% Partner One: 30% Earn Passive! Partnership! Distributions will occur weekly or monthly. 4. Pricing Mentorship pricing follows the structure shown in the PDF, e.g. $2,000 per session (page 4). Price changes require both partners’ consent. Earn Passive! Partnership! 5. Confidentiality Both partners must protect all business, financial, and customer information. 6. Termination Either partner may terminate this agreement with 7 days written notice. Upon termination: Outstanding earnings must be paid Account access must be returned or removed appropriately Confidential materials must be returned 7. Ownership The business entity owns: All brand assets Program materials Websites/forms (as shown on page 7) Earn Passive! Partnership! Both partners will maintain appropriate access while the partnership is active
